TERMS OF SERVICE.

These Terms of Service apply to services provided by Qualty Studios and to use of qualtystudios.ca. A project proposal, quotation, statement of work, invoice, or other written agreement may include additional terms. If there is a conflict, the more specific written project agreement will control for that project.
Services
Qualty Studios provides website design, development, redesign, digital strategy, website maintenance, content updates, monitoring, support, and related digital services. The exact scope, deliverables, schedule, and pricing for a project are defined by the applicable proposal, quote, invoice, checkout, or written agreement.
Client responsibilities
Clients are responsible for providing accurate information, approvals, content, access credentials, brand assets, and other materials reasonably needed to complete the work. Delays in receiving required materials or approvals may affect project timelines.
Project changes and additional work
Requests outside the agreed scope may require a revised quote, added fee, or updated timeline. Significant redesigns, new pages, new integrations, emergency work, or work caused by third-party changes are not automatically included unless specifically stated.
Payments
Prices are shown in Canadian dollars unless stated otherwise. Payment terms are those shown on the applicable quote, invoice, checkout page, or written agreement. Work may be paused when an amount is overdue.
Web Care subscriptions
Web Care is a recurring monthly service. The current standard Web Care price is $59 CAD per month unless a different written rate applies to a specific client.
By subscribing, you authorize recurring monthly charges until the subscription is canceled. Customers can manage payment methods, view billing history, and request cancellation through the Qualty Studios billing portal. Unless otherwise agreed in writing, cancellation takes effect at the end of the current paid billing period.
Web Care covers routine maintenance, reasonable content changes, monitoring, and support within the agreed service scope. It is not an unlimited redesign, development, emergency-response, or third-party repair plan unless those items are expressly included in writing.
Refunds
Fees already earned for completed work, time already spent, or a billing period that has begun are generally non-refundable except where required by law or where Qualty Studios agrees otherwise in writing.
Third-party services
Websites may rely on third-party products or services such as domains, hosting, payment processors, email services, plugins, APIs, fonts, analytics, or other integrations. Third-party services are governed by their own terms, pricing, availability, and policies. Qualty Studios is not responsible for outages, policy changes, price changes, or failures controlled by those third parties.
Intellectual property
Unless a project agreement says otherwise, final custom deliverables created specifically for a client may be transferred to that client after all amounts due for the project are paid. Qualty Studios retains ownership of pre-existing materials, reusable methods, tools, know-how, code utilities, templates, and other materials not created exclusively for that client. Third-party assets remain subject to their original licenses.
Client-provided materials
The client confirms that it has permission to use the text, images, trademarks, data, and other materials it supplies for the project. The client is responsible for claims arising from materials it provides without adequate rights or permission.
Service availability
Qualty Studios aims to provide reliable services but does not guarantee uninterrupted availability of websites, hosting, networks, third-party services, search rankings, sales results, or specific business outcomes.
Limitation of liability
To the maximum extent permitted by applicable law, Qualty Studios will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of the website or services. Any direct liability will be limited to the amount paid for the specific service giving rise to the claim, except where applicable law does not permit that limitation.
Termination
Either party may end an ongoing service according to the applicable written agreement or subscription terms. Outstanding fees for work already completed or committed remain payable.
Governing law
These terms are governed by the laws of Ontario and the applicable laws of Canada, without regard to conflict-of-law rules, except where another jurisdiction's law must apply.
Changes
These terms may be updated as the business and services evolve. The updated date at the top of this page identifies the current version.
